Mergers and Acquisitions

These are debt securities that represent the individual participation of their holders in a collective loan established by the issuing company. The bonds will have coupons attached and will grant their holders, within each series, equal rights.


Types of Bonds

Mortgage Bonds: The issuer pledges real estate as collateral by establishing a mortgage through a trust agreement. This is established solely and exclusively in favor of the bondholders.

Unsecured Bonds: The issuing company will be liable based on its good name and will be backed by all its assets.

Subordinated Convertible Bonds: The issuer grants special rights so that the investor can decide, upon reaching a certain predetermined date specified in the issuance agreement, whether to receive the principal repayment or request that the issuer convert their bonds into shares issued by the company.

Collateralized Bonds: The issuer pledges assets or rights it owns as collateral solely and exclusively in favor of the bondholders.


Trust-Backed Bonds: The issuer establishes a trust with a credit institution over certain types of assets and rights, where the issuer acts as the settlor and the bondholders as the beneficiaries. This ensures that they simultaneously receive the benefits of the trust.


Securities listed on the International Quotation System (SIC): The Mexican Stock Exchange Global Market is a mechanism designed to list and trade, within the Mexican Stock Exchange, under the regulatory and operational framework of the SIC, securities that were not subject to a public offering in Mexico, are not registered in the Securities Section of the National Securities Registry, and are listed on foreign stock markets that have been recognized by the CNBV (National Banking and Securities Commission) or whose issuers have received the corresponding recognition from the aforementioned Commission.


Through the International Quotation System (SIC), securities from international exchanges can be traded, such as those of specific companies or ETFs; Investment Funds with operating characteristics similar to those of a stock.


For the Mexican Stock Exchange Global Market, there are certain requirements established in the applicable Laws and Regulations. The potential purchasers of these securities are: Institutional Investors (PM) and Qualified Investors (PF).


Requirements


A Qualified Investor is considered to be any person who, on average during the last year, has maintained investments in securities for an amount greater than or equal to 1,500,000 investment units (UDIs).


They must also have obtained in each of the last two years, gross annual income equal to or greater than 500,000 investment units.

Furthermore, it will be necessary for them to provide Vector Casa de Bolsa with a written statement declaring that they are aware that these securities are not registered in the CNBV Securities Registry and that they understand and assume the risks of investing in this type of security.


According to the amendments made to the single circular for brokerage firms on November 4, 2021, brokerage firms must ensure that their order reception and allocation systems have mechanisms for sending passive orders for equity securities to the stock exchanges. Brokerage firms must also have a methodology for transmitting passive orders to the stock exchanges; this methodology may not establish conditions that create biases leading to the selection or favoring of one stock exchange over another.


In determining the methodology for transmitting passive orders referred to in the previous paragraph, brokerage firms must incorporate information from at least the last three months for all variables, as published daily by the stock exchanges in accordance with the "General Provisions Applicable to Stock Exchanges," published in the Official Gazette of the Federation on May 15, 2017, and its subsequent amendments.


The criteria applied in the execution of their clients' orders for equity securities must comply with the duty of best execution, considering the following factors:


The best available price on the stock exchanges, given market conditions at the time of execution.


The volume of the security available on the stock exchanges; this will only apply if the client instructs the brokerage firm to prioritize the volume of their order.


If the factor referred to in point 1 is the same on the stock exchanges or is not considered due to client instructions as per point 2, and the available volume is sufficient to fulfill the client's instruction on any of the stock exchanges, then the brokerage firm will use the established criteria to execute the instruction according to best execution, using information from the last 90 days of trading activity on both exchanges to find the highest probability of execution without generating bias in the transaction. The weighting assigned by the brokerage firm to each of the variables is as follows:


Number of messages received

Number of buy orders received

Number of sell orders received

Number of transactions recorded

Daily trading volume

Number of orders that were canceled

Number of orders that were modified during the day

Average trade value for transactions executed during the day

Average trade volume for transactions executed during the day

Average value per buy order received during the day

Average volume per buy order received during the day

Average value per sell order received during the day

Average volume per sell order received during the day
